Seller Agreement (Farmer / Vendor Onboarding Agreement)

Effective Date: April 2, 2026

This Seller Agreement ("Agreement") is entered into between PurnOrganic ("Platform", "we", "us") and the individual farmer, cooperative, or vendor ("Seller", "you") who registers as a seller on the PurnOrganic marketplace. By completing your seller registration and listing products on the Platform, you agree to be bound by all terms of this Agreement.

1. Parties

This Agreement is between PurnOrganic (the marketplace operator) and the registered Seller. The Seller may be an individual farmer, a farmer producer organisation (FPO), an agricultural cooperative, or a registered food business operator. The Seller affirms that they have full legal authority to enter into this Agreement and to sell the products listed on the Platform.

2. Scope of Services

PurnOrganic provides the Seller with:

  • A digital storefront to list, manage, and sell organic products to buyers across India
  • Access to the Platform's buyer base, order management system, and logistics coordination tools
  • Payment collection, settlement, and payout services
  • Seller dashboard for inventory management, sales analytics, and order tracking
  • Customer service coordination for buyer queries related to Seller's products

PurnOrganic is a marketplace intermediary and does not take title to any products listed by the Seller.

3. Seller Obligations

A. Product Integrity

  • All products listed must be genuinely organic, natural, or as described, and must comply with applicable food safety standards (FSSAI regulations, PFA Act, and any relevant organic certification standards such as NPOP, NOP, or equivalent).
  • Sellers must hold valid organic certifications for certified organic products and provide copies to PurnOrganic upon request.
  • Product descriptions, images, weights, and labels must be accurate and not misleading.
  • Sellers must not list adulterated, expired, or prohibited products.

B. Inventory & Fulfilment

  • Sellers must maintain adequate stock levels and keep inventory updated on the Platform in real time.
  • Orders must be confirmed and dispatched within the committed lead time (typically within 24–48 hours of order placement).
  • Sellers are responsible for proper packaging to prevent damage or contamination during transit.
  • Persistent failure to fulfil orders or high cancellation rates may result in account suspension.

C. Pricing & Transparency

  • Sellers set their own prices, subject to Platform guidelines. Prices must include all applicable taxes.
  • Sellers must not engage in price manipulation, artificial inflation, or deceptive promotional practices.
  • Any changes to pricing must be updated on the Platform before new orders are accepted at the new price.

D. Compliance

  • Sellers must comply with all applicable laws including the Food Safety and Standards Act 2006, Consumer Protection Act 2019, GST regulations, and environmental laws.
  • Sellers are responsible for issuing accurate GST-compliant invoices to buyers.
  • Sellers consent to periodic audits and verification by PurnOrganic to confirm compliance.

4. Payments & Settlements

  • PurnOrganic collects payment from buyers on behalf of the Seller and remits the net amount (after deducting platform commission and applicable fees) to the Seller's registered bank account.
  • Settlement is processed on a T+0 basis (same business day) for confirmed delivered orders, subject to no pending disputes or holds.
  • Platform commission rates are as agreed during onboarding and may be revised with 30 days' prior notice.
  • Detailed payout statements, including itemised deductions, are available in the Seller dashboard.
  • PurnOrganic reserves the right to withhold settlements for orders under active dispute, investigation, or chargeback.

5. Returns, Refunds & Disputes

  • If a buyer raises a valid complaint (damage, wrong product, quality issue), PurnOrganic will notify the Seller and the claim will be investigated.
  • Sellers are expected to cooperate with the dispute resolution process and provide relevant evidence within 48 hours of notification.
  • If a refund is approved and the fault is determined to be on the Seller's side, the refund amount will be deducted from the Seller's next settlement.
  • Repeated quality complaints may result in product delisting or account suspension.

6. Prohibited Conduct

Sellers agree not to:

  • List non-organic products as organic or use misleading certifications
  • Conduct off-platform transactions with buyers introduced through PurnOrganic
  • Manipulate reviews, ratings, or the Platform's search algorithm
  • Provide false or forged documentation (certifications, invoices, KYC)
  • Engage in predatory pricing, collusion, or anti-competitive behaviour
  • Harass, threaten, or intimidate buyers or PurnOrganic staff

7. Suspension & Termination

  • PurnOrganic may suspend a Seller's account with immediate effect for violations of this Agreement, fraudulent activity, or receipt of sustained negative feedback.
  • Either party may terminate this Agreement with 30 days' written notice. PurnOrganic may terminate immediately in cases of material breach or fraud.
  • Upon termination, all pending settlements (net of any dues or deductions) will be processed within 30 business days.
  • Product listings will be removed from the Platform on the effective date of termination.

8. Liability

The Seller shall be solely liable for the quality, safety, legality, and authenticity of the products listed and sold on the Platform. PurnOrganic's liability to the Seller is limited to the amounts held in the Seller's settlement account at the time of the relevant claim. PurnOrganic shall not be liable for any indirect, consequential, or incidental loss suffered by the Seller.

9. Indemnity

The Seller agrees to indemnify, defend, and hold harmless PurnOrganic and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from: (a) breach of this Agreement by the Seller; (b) the Seller's products causing harm or injury; (c) the Seller's non-compliance with applicable laws; or (d) fraudulent or negligent acts by the Seller.

10. Governing Law

This Agreement shall be governed by the laws of India. All disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Noida, Uttar Pradesh, India. Prior to initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation.
